Terms of Service
Effective 2026-09-28 · Questions: hello@sunstatebrickell.com
These Terms govern your use of sunstatebrickell.com and any purchase you make through it from Sun State Brickell LLC, a Florida limited liability company based in Miami, Florida (“Sun State Brickell,” “we,” “us”). By using the site or buying from us, you agree to these Terms. Full Port, the trading community at sunstatebrickell.com/fullport, has its own terms.
1. Our services
We design and build websites, client portals and related digital work. Each project is delivered under a written Web Design & Development Agreement and Project Proposal (together, the “Agreement”) that sets out scope, timeline, revisions and ownership. If these Terms and your Agreement conflict, the Agreement controls for that project.
2. Using the site
You may browse the site and contact us for lawful purposes. Don't attempt to break into, overload, scrape at scale or disrupt the site, the client portal or the admin area, and don't submit false information or other people's details.
3. Online purchases
- Packages and add-ons bought through the site are paid through Stripe. Prices are shown in U.S. dollars before you pay.
- A purchase reserves your project. Work begins once we confirm the scope with you and you accept the Agreement for your project.
- As set out in our Agreement, deposits are non-refundable once work has begun, because they pay for time reserved and work already done. If we decline a project before work begins, we refund what you paid.
- Final payments are due as described in your Agreement. Late balances may accrue the late fee stated there, and we may pause work or take a site offline until the balance is paid.
4. Monthly maintenance plans
Maintenance plans are billed monthly through Stripe and renew automatically until you cancel. You can cancel at any time by emailing hello@sunstatebrickell.com; cancellation stops future charges and your plan runs to the end of the month you paid for. We may change plan prices for future months with at least 30 days' notice.
5. Client portal
If we give you a portal account, keep your login private and tell us promptly if you think it has been misused. You are responsible for activity under your account. We may suspend access that is being misused or that puts the service or other clients at risk.
6. Ownership and content
The site, our branding, text, designs and code belong to Sun State Brickell or our licensors. Ownership of work we create for you passes to you on full payment, as described in your Agreement. Portfolio pieces and example results on the site illustrate past work; your results will depend on your business, market and many factors outside our control, and we do not guarantee rankings, traffic, leads or revenue.
7. Third-party services
We rely on third parties such as Stripe (payments), Supabase (accounts and data), Vercel (hosting) and domain and email providers. Their terms govern your use of them, and we are not responsible for their outages or actions.
8. Disclaimer
The site is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Warranties for your project, if any, are only those written in your Agreement.
9. Limitation of liability
To the fullest extent the law allows, Sun State Brickell is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the site or a purchase is limited to the amount you paid us for the specific service giving rise to the claim in the 12 months before it arose.
10. Indemnity
You agree to defend and indemnify Sun State Brickell against claims arising from content you give us to publish (for example text, images or logos you don't have the rights to) or from your breach of these Terms.
11. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes about a project are resolved as your Agreement provides. For anything else, please contact us first so we can try to resolve it informally for 30 days; unresolved claims will be brought in the state or federal courts located in Miami-Dade County, Florida.
12. Changes
We may update these Terms. The effective date at the top shows the current version; changes apply from that date and do not change an Agreement you have already signed.
